1. Acceptance of Terms

By creating an account, accessing, or using the FractionalChiefs AI platform (the "Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and FractionalChiefs ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

FractionalChiefs AI is an artificial intelligence-powered platform that provides financial and marketing analysis services. The Service:

• Analyzes your company's financial data (uploaded CSV files, QuickBooks integration in future releases)
• Processes marketing metrics from Google Analytics 4 (GA4) and Google Search Console
• Uses Claude AI by Anthropic to provide insights, recommendations, and strategic advice
• Generates financial models, reports, and marketing campaign analysis

3. User Accounts and Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Be at least 18 years of age
• Have the legal authority to enter into this agreement on behalf of your company (if applicable)
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

4. Subscription and Billing

4.1 Subscription Plans

The Service is offered on a monthly subscription basis. Current beta pricing is $997 per month. Pricing is subject to change with 30 days notice.

4.2 Payment Processing

Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method on a recurring monthly basis.

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months, except as required by law.

• Accounting services or audit opinions
• Professional consulting services

You should always consult with qualified professionals (accountants, lawyers, tax advisors, financial advisors) before making business decisions based on AI-generated content.

While we strive for accuracy, AI-generated content may contain errors, omissions, or outdated information. You use the Service at your own risk.

6. Data Upload and Processing

By uploading financial data, marketing metrics, or other information to the Service:

• You retain all ownership rights to your data and information
• You grant us a limited license to process, analyze, and store your data for the purpose of providing the Service
• You represent that you have the right to upload and share this data
• You are responsible for ensuring data accuracy and completeness

Your data will be processed in accordance with our Privacy Policy and industry-standard security practices.

7. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Upload malicious code, viruses, or any harmful technology
• Share your account credentials with unauthorized third parties
• Use the Service to process data you do not have rights to access
• Attempt to access other users' accounts or data
• Use automated systems (bots, scrapers) to access the Service without permission

8. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content (excluding user-uploaded data), is owned by FractionalChiefs and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use the FractionalChiefs name or branding without express written permission.

9. Limitation of Liability

• Your use or inability to use the Service
• Any inaccuracies or errors in AI-generated content or analysis
• Business decisions made based on information provided by the Service
• Unauthorized access to your data or account
• Service interruptions or technical failures

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate, complete, or reliable.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, if:

• You violate these Terms of Service
• Your payment method fails or is declined
• We believe your use poses a security or legal risk
• We discontinue the Service (with reasonable notice)

Upon termination, your right to access the Service ceases immediately. You may download your data before termination, after which we may delete it according to our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
